Introduction

These Host Guidelines ("Guidelines") constitute a legally binding agreement between you ("Host", "you", or "your") and Orbit Transactions LLC ("Orbit", "we", "us", or "our") governing your use of the Orbit platform as a host. By creating a host profile, accepting these Guidelines, or using the Orbit platform as a host, you agree to be bound by these Guidelines in their entirety.

These Guidelines supplement, and are incorporated into, the Orbit Terms of Service and Privacy Policy. In the event of any conflict between these Guidelines and the Terms of Service, these Guidelines shall control with respect to host-specific obligations.

Definitions

"Activity" means any platonic experience, event, or service offered by a Host through the Orbit platform.

"Booking" means a confirmed reservation made by a Guest for an Activity with a Host.

"Guest" means a user of the Orbit platform who books Activities with Hosts.

"Host" means a user of the Orbit platform who offers Activities to Guests.

"Host Profile" means the profile, listing, and associated information created by a Host on the Orbit platform.

"Orbit Platform" or "Platform" means the Orbit website, mobile applications, and related services operated by Orbit Transactions LLC.

"Platonic" means non-romantic, non-sexual, and appropriate for friendly companionship only.

1. Host Eligibility and Account Requirements

1.1 Eligibility

To become a Host on Orbit, you must:

• Be at least 18 years of age

• Have the legal capacity to enter into binding agreements

• Comply with all applicable laws and regulations in your jurisdiction

• Not be prohibited from using the Platform under applicable law

1.2 Account Requirements

As a Host, you agree to:

• Provide accurate, current, and complete information during registration and profile creation

• Maintain and promptly update your account information

• Maintain the security of your account credentials

• Accept full responsibility for all activities that occur under your account

• Notify Orbit immediately of any unauthorized use of your account

1.3 Verification Requirements

Hosts must complete the following verification:

• Email Verification: Required for all users. You must verify your email address to access the Discovery Feed.

• Phone Verification: Required to add availability and create listings. You must verify your phone number before your listings can enter the approval queue.

• Profile Review: All host profiles are subject to administrative review before approval. Review typically takes 24-48 hours.

Additional optional verification (post-MVP):

• ID Verification: Optional government-issued identification verification (displays verification badge)

• Background Check: Optional background screening (displays verification badge)

You agree to provide accurate information for all verification processes and to maintain your verification status throughout your use of the Platform.

2. Host Profile Obligations

2.1 Profile Accuracy

You agree that all information in your Host Profile, including but not limited to:

• Profile photos

• Bio and introduction

• Activity types and descriptions

• Pricing information

• Availability and scheduling

• Location information

shall be accurate, current, complete, and not misleading. You agree to update your profile promptly when any information changes.

2.2 Profile Photos

You agree to:

• Provide a minimum of 3 profile photos (up to 8-10 recommended)

• Use only recent photos that accurately represent your current appearance

• Use clear, high-quality images

• Not use inappropriate, misleading, heavily edited, or fraudulent photos

• Not use photos of other individuals without authorization

• Consent to AI-assisted review of photos for authenticity

2.3 Bio and Introduction

You agree to:

• Provide a bio/introduction of 300-500 characters (recommended range)

• Write authentically and accurately about yourself and your offerings

• Mention the activity types you offer

• Not include false, misleading, or inappropriate content

2.4 Activity Types and Listings

You agree to:

• Only select activity types you can actually host

• Be specific and accurate about what you offer

• Ensure all activities are appropriate for platonic companionship only

• Keep your activity list and listings accurate and up to date

• Not offer activities that violate these Guidelines or applicable law

2.5 Pricing

You agree to:

• Set fair and competitive pricing

• Clearly display all pricing on your profile

• Be transparent about what is included in the price

• Not include hidden fees or charges

• Not request additional payments outside the Platform

• Currently, only USD currency and per-person pricing are supported (group pricing may be added post-MVP)

2.6 Availability

You agree to:

• Set realistic availability that you can honor

• Keep your calendar and availability up to date

• Set appropriate minimum notice periods

• Block dates when you are unavailable

• Respond to booking requests within 24-48 hours

3. Platonic Activities Only

3.1 Exclusive Platonic Nature

Orbit is exclusively for platonic connections and activities. You agree that:

• All Activities offered through the Platform must be appropriate for platonic companionship only

• No romantic, dating, or sexual services are permitted

• No romantic or sexual advances toward Guests are permitted

• Any violation of this requirement will result in immediate account suspension or termination

3.2 Prohibited Activities

You agree not to offer, facilitate, or engage in:

• Romantic or dating services

• Sexual content, services, or advances

• Activities that are inappropriate for platonic companionship

• Activities that violate local laws or regulations

• Activities that pose unreasonable safety risks

• Activities requiring special licenses or permits without proper documentation

4. Booking Management

4.1 Accepting Bookings

You agree to:

• Review Guest profiles before accepting bookings

• Respond to booking requests within 24-48 hours

• Only accept bookings you can honor

• Communicate clearly and promptly with Guests

• Not discriminate against Guests based on protected characteristics

4.2 Cancellations

You agree that:

• Hosts cannot reschedule bookings (only cancel)

• Cancellations should only occur in genuine emergencies or unavoidable circumstances

• You will cancel as early as possible if cancellation is necessary

• You will provide an honest reason for cancellation when requested

• Frequent cancellations may result in account review, suspension, or termination

• Host cancellations may result in full refunds to Guests

4.3 Rescheduling (Guest Requests)

If you allow rescheduling:

• Guests may request to reschedule bookings (subject to your settings)

• You may configure rescheduling settings in your profile

• You may set limits on the number of reschedules per booking

• Rescheduling must be completed at least 24 hours before the scheduled booking time

4.4 No-Shows

You agree to:

• Always show up for confirmed bookings

• Arrive on time for scheduled Activities

• Cancel in advance if you cannot attend (not a no-show)

• Understand that Host no-shows result in full refunds to Guests and may affect your account status

5. Communication Guidelines

5.1 In-App Messaging

You agree to:

• Use in-app messaging for all communications with Guests

• Keep all messages appropriate, respectful, and professional

• Respond to messages in a timely manner

• Not send harassment, spam, or inappropriate content

• Not share personal contact information until appropriate and with consent

5.2 Before the Activity

You agree to:

• Confirm details with Guests before meeting

• Share meeting location information (if applicable)

• Discuss any special requirements or requests

• Be clear about what Guests should expect

5.3 During the Activity

You agree to:

• Be present and engaged during the Activity

• Follow through on what you promised

• Maintain appropriate professional boundaries

• Ensure the safety and comfort of all participants

• Not engage in any inappropriate behavior

6. Safety Requirements

6.1 Safety Obligations

You agree to:

• Prioritize safety in all interactions with Guests

• Meet in public places for first-time meetings (when applicable)

• Follow all local safety guidelines and regulations

• Report any safety concerns to Orbit immediately

• Not engage in activities that pose unreasonable safety risks

6.2 Reporting Safety Concerns

You agree to immediately report to Orbit:

• Any safety concerns involving Guests

• Any threats, harassment, or inappropriate behavior

• Any illegal activities

• Any violations of these Guidelines

7. Prohibited Conduct

7.1 Strictly Prohibited

You agree not to engage in, facilitate, or permit:

• Romantic or dating services - Orbit is platonic only

• Sexual content or advances - Zero tolerance policy

• Harassment or abuse - Will result in immediate account termination

• Discrimination - Based on race, color, religion, gender, gender identity, sexual orientation, national origin, age, disability, or any other protected characteristic

• Fake profiles or misrepresentation - Including but not limited to using false information, photos of others, or misrepresenting your identity

• Scams or fraud - Including but not limited to payment fraud, identity theft, or deceptive practices

• Spam or unsolicited messages - Including but not limited to unsolicited commercial messages or bulk messaging

• Violation of privacy - Including but not limited to sharing personal information without consent or violating Guest privacy

• Illegal activities - Any activities that violate applicable laws or regulations

• Selling products or services - Outside of booked Activities (no separate product sales)

• Soliciting tips or additional payments - Outside the Platform payment system

7.2 Consequences for Prohibited Conduct

Violations of prohibited conduct may result in:

• Immediate account suspension or termination

• Loss of access to the Platform

• Forfeiture of pending earnings

• Legal action where appropriate

• Reporting to law enforcement authorities

8. Payment and Financial Terms

8.1 Payment Processing

You understand and agree that:

• Payments are processed through Stripe, Orbit's payment processor

• Guests pay when bookings are confirmed (after you accept)

• Platform fees are deducted from your earnings

• Default service fee is 20% of the booking amount (15% for subscribers)

• Platform fees are subject to change with notice

8.2 Payouts

You agree to:

• Set up a valid payout method in your Account Settings

• Keep your banking and payment information current and accurate

• Understand that earnings are paid out according to the schedule (weekly/bi-weekly)

• Understand that payouts may be delayed or withheld for violations, disputes, or legal requirements

• Accept that Orbit is not responsible for delays caused by payment processors or financial institutions

8.3 Tax Obligations

You acknowledge and agree that:

• You are solely responsible for reporting and paying all applicable taxes on your earnings

• Orbit may provide tax documents (e.g., Form 1099) if required by law

• You should consult with a tax professional regarding your tax obligations

• Orbit does not provide tax advice

8.4 Pricing Transparency

You agree to:

• Clearly display all pricing on your profile

• Be transparent about what is included in the price

• Not include hidden fees or charges

• Not request additional payments outside the Platform

• Not solicit tips or additional payments from Guests (Orbit does not currently offer tipping functionality; see Terms of Service Section 6)

9. Intellectual Property

9.1 Your Content

You retain ownership of content you create and submit to the Platform, including:

• Profile photos

• Bio and descriptions

• Activity listings and details

9.2 License to Orbit

By submitting content to the Platform, you grant Orbit a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to:

• Use, reproduce, modify, adapt, publish, translate, and distribute your content

• Display your content on the Platform and in promotional materials

• Use your content for Platform operations, improvements, and marketing

9.3 Orbit's Intellectual Property

You acknowledge that:

• The Orbit Platform, including its design, features, and functionality, is owned by Orbit

• You may not copy, modify, or create derivative works of the Platform

• Orbit trademarks, logos, and brand elements are the property of Orbit

10. Reviews and Ratings (Post-MVP)

10.1 Guest Reviews

You understand that:

• Guests may leave reviews and ratings after completing Activities

• Reviews are subject to Orbit's content moderation policies

• You may respond professionally to reviews

• Orbit reserves the right to remove reviews that violate policies

10.2 Review Guidelines

You agree not to:

• Solicit fake or misleading reviews

• Offer incentives in exchange for positive reviews

• Retaliate against Guests for negative reviews

• Attempt to manipulate the review system

11. Account Management and Status

11.1 Profile Maintenance

You agree to:

• Keep your profile information current and accurate

• Update availability regularly

• Refresh photos periodically

• Update your bio to reflect current offerings

11.2 Account Status

You understand that:

• Your account may be reviewed for violations of these Guidelines

• Orbit reserves the right to suspend or terminate accounts that violate these Guidelines

• Account status may affect your ability to create listings, accept bookings, or receive payouts

11.3 Account Suspension and Termination

Orbit may suspend or terminate your account for:

• Violations of these Guidelines

• Violations of the Terms of Service

• Illegal activities

• Fraud or deceptive practices

• Safety concerns

• Repeated cancellations or no-shows

• Failure to maintain verification requirements

• Any other conduct that Orbit determines, in its sole discretion, is harmful to the Platform or its users

12. Privacy and Data Protection

12.1 Guest Privacy

You agree to:

• Respect Guest privacy at all times

• Not share Guest personal information without consent

• Use in-app messaging (more secure than external communication)

• Follow Guest privacy settings and preferences

• Not collect or store Guest information outside the Platform without authorization

12.2 Location Privacy

You understand that:

• Location is automatically determined by GPS or IP address

• Location is generalized to state and country level

• Exact location is never shared with other users

• You control location visibility in your privacy settings

12.3 Data Protection

You agree to:

• Comply with applicable data protection laws

• Not misuse or disclose Platform data

• Report any data breaches or security incidents to Orbit immediately

13. Disclaimers and Limitation of Liability

13.1 Platform Disclaimer

You acknowledge that:

• Orbit is a platform that connects Hosts and Guests

• Orbit does not provide, control, or supervise Activities

• Orbit is not a party to any agreement between Hosts and Guests

• Orbit does not guarantee the quality, safety, or legality of Activities

13.2 Your Responsibility

You acknowledge and agree that:

• You are solely responsible for your Activities and interactions with Guests

• You are responsible for obtaining any necessary licenses, permits, or insurance

• You are responsible for compliance with all applicable laws and regulations

• Orbit is not liable for any injuries, damages, or losses arising from your Activities

13.3 Limitation of Liability

To the maximum extent permitted by law:

• Orbit's liability is limited to the amount of fees you have paid to Orbit in the 12 months preceding the claim

• Orbit is not liable for indirect, incidental, special, consequential, or punitive damages

• Orbit is not liable for any losses arising from your use of the Platform or Activities

14. Indemnification

You agree to indemnify, defend, and hold harmless Orbit, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Platform as a Host

• Your Activities and interactions with Guests

• Your violation of these Guidelines, the Terms of Service, or applicable law

• Your violation of any rights of another party

• Your content submitted to the Platform

15. Dispute Resolution

15.1 Guest Disputes

You agree to:

• Work in good faith to resolve disputes with Guests

• Respond promptly to Guest concerns

• Cooperate with Orbit's dispute resolution process

• Accept Orbit's decisions regarding disputes, which are final and binding

15.2 Orbit Disputes

Any disputes between you and Orbit shall be resolved in accordance with the Terms of Service, including any arbitration or jurisdiction provisions.

16. Modifications to Guidelines

16.1 Right to Modify

Orbit reserves the right to modify these Guidelines at any time. Material changes will be communicated to you through:

• Email notification

• In-app notification

• Updated version date on this document

16.2 Continued Use

Your continued use of the Platform as a Host after modifications constitutes acceptance of the modified Guidelines. If you do not agree to the modifications, you must stop using the Platform as a Host and may terminate your account.

16.3 Acceptance of New Versions

When Guidelines are updated, you may be required to accept the new version before continuing to use the Platform as a Host.

17. Enforcement and Consequences

17.1 Enforcement Actions

Orbit may take the following actions for violations of these Guidelines:

• Warning: For minor or first-time violations

• Temporary Suspension: For repeated violations or moderate violations

• Permanent Ban: For serious violations, illegal activities, or repeated suspensions

• Legal Action: For illegal behavior or fraud

• Forfeiture of Earnings: For violations involving fraud or deceptive practices

17.2 No Right to Appeal

You acknowledge that Orbit's decisions regarding enforcement actions are final and binding, subject to applicable law.

17.3 Reporting to Authorities

Orbit reserves the right to report violations to law enforcement authorities, regulatory agencies, or other appropriate parties.

18. General Provisions

18.1 Entire Agreement

These Guidelines, together with the Terms of Service and Privacy Policy, constitute the entire agreement between you and Orbit regarding your use of the Platform as a Host.

18.2 Severability

If any provision of these Guidelines is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18.3 Waiver

Orbit's failure to enforce any provision of these Guidelines shall not constitute a waiver of that provision or any other provision.

18.4 Assignment

You may not assign or transfer these Guidelines or your Host account without Orbit's prior written consent. Orbit may assign these Guidelines without your consent.

18.5 Governing Law

These Guidelines shall be governed by and construed in accordance with the laws specified in the Terms of Service, without regard to conflict of law principles.

19. Acceptance

19.1 Agreement to Guidelines

By creating a Host profile, accepting these Guidelines, or using the Orbit Platform as a Host, you acknowledge that:

• You have read and understood these Guidelines

• You agree to be bound by these Guidelines

• You agree to comply with all obligations set forth herein

• You understand the consequences of violations

19.2 Acceptance Methods

You may accept these Guidelines by:

• Clicking "Accept" or similar button when creating a Host profile

• Creating a listing (which requires acceptance of Host Guidelines)

• Continuing to use the Platform as a Host after Guidelines are updated

19.3 Withdrawal

If you do not agree to these Guidelines, you must not create a Host profile or use the Platform as a Host. You may withdraw your acceptance by terminating your Host account, but you remain bound by these Guidelines for any Activities that occurred prior to termination.
